Terms of Service

The agreement between you and Blackbook Engine for using our software.

1. The agreement

These Terms of Service ("Terms") govern your access to and use of the Blackbook Engine platform, website, and related services (the "Service"). By signing up for, paying for, or using the Service, you agree to these Terms. If you are using the Service on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" means that organization.

2. Your account and subscription

To use the Service you must provide accurate account information, including a valid email address. You are responsible for keeping your login credentials secure and for all activity that happens under your account. If you believe your account has been compromised, contact us immediately.

Access is sold on a per-seat basis, with no minimum number of seats. Each seat may be used by one individual. Subscriptions renew automatically, monthly or annually according to the billing period you chose at checkout, and are billed to the payment method on file until you cancel. Annual subscriptions renew for a further twelve months unless cancelled before the renewal date.

3. Acceptable use

You agree not to use the Service to:

  • Send unsolicited commercial email or messages that violate applicable law, including the CAN-SPAM Act or GDPR, or the policies of the mailboxes or networks you send through;
  • Store or transmit unlawful, infringing, or malicious content;
  • Attempt to access another customer's data, the Service's infrastructure, or any system you are not authorized to use;
  • Resell, sublicense, or share access to the Service except as permitted by your plan.

You are responsible for the messages you send and the data you load into the Service, and for the email and outreach accounts you connect to it.

4. Fees, taxes, and refunds

Subscription fees are billed in advance, monthly or annually according to your plan. Where your plan includes intel-asset credits, those credits are a licence to commission assets and carry no cash value: unused credits roll into the next month, and credits are not refundable or convertible to cash. Applicable sales taxes may be added. Refunds are governed by our Refund Policy. Fees are non-refundable except as described there.

5. Your data and our IP

You own the data you put into the Service, including contact records, message drafts, and outreach content. We use it only to provide and improve the Service. We own the Service itself, its code, and its documentation. We do not claim ownership of your data.

You grant us the limited right to process your data as needed to operate the Service, including routing it through the AI and email providers that power your workflows. Details of what we collect and share are in our Privacy Policy.

6. Confidentiality

Both parties will keep confidential any non-public information received from the other about its business, pricing, or operations, and will use it only to carry out the purposes of this agreement.

7. Disclaimers

The Service is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or that results (including email deliverability or reply rates) will meet your expectations. Deliverability depends on the mailboxes and networks your messages are sent through, which we do not control.

8. Limitation of liability

To the maximum extent permitted by law, our total liability for any claim arising out of or related to the Service will not exceed the amount you paid us in the three months preceding the claim. In no event will we be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill.

9. Termination

You may cancel your subscription at any time from your account; the Service continues until the end of the paid period and then stops. We may suspend or terminate access if you violate these Terms, fail to pay, or use the Service in a way that harms others or the Service itself. On termination you may export your data during a reasonable transition period; after that your data may be deleted.

10. Changes to these Terms

We may update these Terms from time to time. When we make material changes we will notify you by email or through the Service. Continued use of the Service after the changes take effect means you accept them.

11. Governing law and contact

These Terms are governed by the laws of the State of Oregon, USA, without regard to conflict-of-law rules. Questions about these Terms, privacy, or refunds can be sent to the contact address on our contact page.
